Service Contract Agreement

Contract for Security Services

This agreement ("Agreement") is between the paying party ("Payer") and MPS Security and Protection & Protection.
By paying the invoice, Payer acknowledges review and acceptance of all stated terms, which shall become legally binding.

Agreement Overview

The Payer expressly agrees to all the terms and conditions outlined in this agreement. By making payment, the Payer affirms they have read, understood, and will abide by all obligations, covenants, and responsibilities specified herein.

Overtime

Overtime is billed if authorized by the Payer and incurred outside of scheduled service hours. Coverage hours and days may be adjusted at the Payer's request, subject to prior agreement with MPS Security and Protection. Officers may be retained for overtime at the Payer's specific request. Overtime rates are billed at 1.5x the hourly rate. Overtime will be charged when additional security coverage or a specific officer is requested to extend or add shifts.

The Payer agrees to pay MPS Security and Protection for all overtime exceeding 12 hours per day, as requested. If any law, regulation, or mandate from an authority changes service hours, pay rates, working conditions, or costs, this contract will be subject to renegotiation to account for increased costs.

Contract Termination

MPS Security and Protection reserves the right to terminate this agreement immediately if the Payer defaults on payment, or in the event of bankruptcy, insolvency, reorganization, or the appointment of a receiver for the Payer's property, or the assignment for benefit of creditors. If MPS Security and Protection files for bankruptcy, insolvency, or reorganization, the Payer's liability is limited only to unpaid invoices up to the filing date.

  • Either Payer or MPS Security and Protection may terminate services for one-time events or periods under 30 days with 48 hours' advance notice. Once staff are deployed/on-site, a minimum of 12 hours per staff member will be billed.
  • Cancellations less than 48 hours before service start may incur an administrative fee up to 10% of the estimated contract cost.

Changes to Contract

The schedule, scope of service, billing rate, officer assignments, and payment terms outlined herein are mutually agreed upon by both parties. No changes are allowed without written agreement from MPS Security and Protection. All requested changes must be submitted by the Payer's designated contact and will be addressed in writing by MPS Security and Protection. Verbal requests or agreements will not be honored. Changes may carry additional fees, including changes to hourly billing rate.

Indemnity

MPS Security and Protection shall indemnify, defend, and hold harmless the Payer, its agents, and employees from losses, damages, injuries, liabilities, claims, or liens arising from the negligence or willful misconduct of MPS Security and Protection in performing work. This obligation is limited to and satisfied only from the proceeds of insurance required to be maintained by MPS Security and Protection. Nothing excuses MPS Security and Protection from obtaining and maintaining such insurance as required herein.

The Payer shall, in turn, indemnify and defend MPS Security and Protection and its personnel from losses or claims resulting from the negligence or willful misconduct of the Payer, its agents, employees, or any unsafe or defective condition of the Payer's property or areas under Payer's control.

Arbitration of Disputes

Any claims or disputes arising from this agreement shall be subject to non-binding mediation if either party requests in writing within 30 days. Such mediation shall occur in the Federal Judicial District of Riverside, California, under National Arbitration Forum rules.

Miscellaneous

  • Security Officers required to appear in court as witnesses (resulting from incidents at the Payer's facility) will be compensated at the overtime rate.
  • MPS Security and Protection is not an insurer. Security services provided deter-but do not guarantee against-loss, theft, or damages.
  • The value of services is unrelated to the value of the Payer's property. Charges reflect officer services for deterrence, not insurance against loss.
  • MPS Security and Protection makes no implied or expressed guarantee that losses will not occur, or that all incidents will be prevented or detected.
  • The Payer agrees to defend, at its own expense, and indemnify MPS Security and Protection, its employees, and agents from claims, lawsuits, or losses for failure to prevent property loss or injury, except for those caused by negligence or intentional misconduct by MPS Security and Protection staff.
  • MPS Security and Protection holds the Payer harmless and agrees to defend the Payer from liabilities resulting from damage or loss caused by MPS Security and Protection personnel while providing contracted security.
